These terms cover our telecom services: phone systems, lines, numbers, calls and texts. They sit alongside our general terms & conditions, and we've written them as plainly as we can. If anything is unclear, call us on 01695 555055 and we'll explain.
1. About these terms
- SOLAR IT, 56 New Court Way, Ormskirk, Lancashire, L39 2YT, trades as SOLAR Telecoms for its telecom services, and is an Ofcom regulated provider. In these terms "we" and "us" means SOLAR IT trading as SOLAR Telecoms, and "you" means the business or organisation we supply.
- Your contract with us is made up of your order (or quote you've accepted), your contract summary where we provide one, these telecom terms and our general terms & conditions. If they conflict, they apply in that order, so your order comes first.
- Our telecom services are supplied to businesses and organisations. Some rules give extra protection to small businesses, not-for-profit organisations and microenterprises, and nothing in these terms takes away any rights you have under them.
2. Words we use
- Services means the telecom services in your order, such as a hosted or on-site phone system, SIP trunks, telephone numbers, calls, texts and related support.
- Equipment means phones, headsets and other hardware we supply, whether you buy or rent it.
- Minimum term means the period you agree to take a service for, as shown on your order or contract summary.
- Charges means the prices for the services and equipment, as set out in your order or agreed with you.
3. Your contract and minimum term
- Before you sign up, we'll give you the key information about the service, and a contract summary where the rules require one.
- Your contract starts when we confirm your order, and the minimum term starts when the service goes live.
- When the minimum term ends, the service carries on month to month until either of us gives notice, as set out in section 12. Where the rules require it, we'll let you know when your minimum term is coming to an end.
- Each service, number or user licence may have its own minimum term. Adding new services doesn't extend the minimum term of the ones you already have, unless you agree to that.
4. Charges, billing and payment
- We invoice monthly. Regular charges, such as line rental, user licences and number rental, are billed in advance. Usage, such as calls and texts, is billed in arrears.
- Prices are shown before VAT, which is added at the current rate. All charges are in pounds sterling.
- Payment is due by the date shown on your invoice, usually by Direct Debit or another method we've agreed with you.
- If a payment is late, we'll contact you first. If it stays unpaid, we may charge interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, and suspend services as set out in section 11. A reconnection charge may apply, and we'll tell you what it is before reconnecting.
- If you think an invoice is wrong, please tell us as soon as possible and within 30 days of the invoice date. Pay the parts you don't dispute while we look into it, and we'll put right any mistake we've made.
- Call charges depend on the number dialled. Calls to premium rate, international and some non-geographic numbers can cost much more than standard calls. Ask us for the rates for any type of call, and we can bar types of call you don't want.
5. Price and contract changes
- If your contract includes planned price rises, they'll be set out in pounds and pence when you sign up.
- We may need to change our charges or these terms, for example when a supplier or the regulator changes something. We'll give you at least 30 days' notice of any change that isn't to your benefit.
- Where the rules give you the right to, you can end the affected service without an early termination charge, by telling us within the period we explain in our notice.
6. Emergency calls
- You can call the emergency services free on 999 and 112 from our phone services.
- Internet phone services need power and a working internet connection. During a power cut, a broadband fault or an equipment failure, you may not be able to make any calls, including emergency calls. Please make sure you always have another way to call for help, such as a mobile phone.
- The emergency services use the address we hold for each number to know where you are. You must tell us your correct installation address for every number, and tell us straight away if it changes or a phone is moved to another site.
- If a softphone, mobile app or phone is used away from its registered address, the emergency services may be given the wrong location. Anyone using our services away from the registered address should give their location clearly when calling 999.
- If you have staff or visitors who rely on a phone line for their safety, such as a telecare alarm or a lift line, please tell us so we can advise on the right setup.
7. Telephone numbers and porting
- We can supply new geographic and 0800 numbers. Numbers are allocated by Ofcom, so while you have the right to use and move the numbers on your account, they aren't owned by either of us.
- Moving numbers to us. We'll arrange the transfer with your current provider. You'll need to give us the details and authority we ask for, and make sure ending your old service doesn't leave anything unpaid. Your old provider's contract and charges are between you and them.
- Moving numbers away. You can move your numbers to another provider at any time. We won't refuse a valid request, except where the rules allow, such as when the request is incomplete or incorrect. Moving a number doesn't end your contract for other services, and charges for the number continue until the end of any minimum term.
- If your service ends, we'll keep your numbers available to move to another provider for at least one month, unless you tell us you no longer need them.
- Where Ofcom's rules provide compensation for a delayed or failed move that is our fault, we'll pay it.
- Ask us if you'd like your numbers listed in, or kept out of, the phone directory and directory enquiry services.
8. Using the services
- You must use the services lawfully, and not to make nuisance, abusive or fraudulent calls or send unwanted marketing calls or texts.
- Automated diallers, call centres and bulk calling or texting need our agreement first. You may not resell the services without our written consent.
- Packages with inclusive minutes or texts are for normal business use by the people they're provided for, under any fair use limits shown in your package. If use is far beyond normal, we'll talk to you about a package that fits.
- Keep your passwords, PINs and voicemail codes private and change any default passwords. You're responsible for calls made through your account, including calls made by someone who has gained access without permission. We use measures such as spending alerts and barring high-risk destinations to help protect you, and we'll contact you if we spot unusual activity.
- If you record calls, you're responsible for doing so lawfully, including telling callers that calls may be recorded and handling the recordings under data protection law.
- Please give us accurate details and tell us when they change, including your contact details and the address of each site.
9. Service quality and faults
- We'll provide the services with reasonable skill and care, and work to keep them running. We can't promise they'll always be free of faults or interruptions, because they rely on networks and equipment that aren't all under our control.
- Call quality depends on your internet connection and your network. We'll advise on what you need, and help where we can if a problem is caused by your broadband or network.
- Report faults to us on 01695 555055 or help@solarit.uk. We'll investigate, deal with the networks and carriers for you, and keep you informed until it's fixed. Any service levels agreed with you are set out in your order.
- We sometimes need to carry out maintenance. Where we can, we'll do it outside working hours and give you notice in advance.
10. Equipment
- Your order shows whether you're buying or renting equipment.
- Equipment you buy becomes yours once it's paid for in full, and is covered by the manufacturer's warranty. We'll help you make a warranty claim if something goes wrong.
- Rented equipment stays ours. Please look after it, and return it in good condition when the rental ends, allowing for normal wear and tear. We may charge for rented equipment that isn't returned or is damaged.
- Equipment we supply is set up to work with our services. We may update its software and settings remotely to keep it secure and working.
11. Suspending services
- We may suspend all or part of the services if charges are overdue and remain unpaid after we've given you notice, if we reasonably suspect fraud or misuse, if you seriously break these terms, or if we're required to by law or the regulator.
- Where we can, we'll warn you first and give you the chance to put things right. Calls to 999 and 112 will stay available wherever possible.
- Charges continue while services are suspended because of something you've done or haven't done.
12. Ending the contract
- By you. Once the minimum term has ended, you can end a service by giving us 30 days' notice in writing, unless your order says otherwise.
- During the minimum term. If you end a service before the minimum term is over, an early termination charge applies. It won't be more than the charges left to pay for the rest of the minimum term, less any costs we save by ending the service early. Your contract summary or order explains how it's worked out.
- By us. We may end a service with 30 days' notice once its minimum term has ended. We may end it straight away if you seriously break these terms and don't put it right when asked, if charges remain unpaid after suspension, if you become insolvent, or if we're required to by law or the regulator.
- When a service ends, we'll send a final invoice for any charges due, rented equipment must be returned, and your numbers can still be moved to another provider as explained in section 7. Voicemails, recordings and call records held on the system may be deleted, so please save anything you need before the service ends.
13. Our liability
- Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law doesn't allow us to limit.
- We're not liable for loss of profit, business, revenue, goodwill or data, or for indirect or consequential losses.
- Otherwise, our total liability to you in any 12 month period is limited to the charges you've paid us for the affected service during that period.
- We're not responsible for delays or failures caused by events beyond our reasonable control, such as power cuts, severe weather, damage to networks by third parties, or failures of other operators' networks. We'll do what we reasonably can to keep disruption to a minimum.
14. Your information
- We look after personal information as set out in our GDPR & privacy policy.
- To provide the services, we keep records of calls and usage for billing, fault finding and fraud prevention, and as the law requires. We share information with network operators and carriers where needed to connect and support your services, and with the emergency services when you make an emergency call.
- We'll only give information to others where we need to provide the services, where you've agreed, or where the law requires it.
15. Complaints
- If you're unhappy with our telecom services, please contact us first by phone on 01695 555055 or by email to help@solarit.uk. We'll acknowledge your complaint, look into it, and keep you updated until it's resolved.
- If we can't resolve your complaint within eight weeks, or we write to tell you we can't agree, eligible customers can take it to an independent alternative dispute resolution scheme approved by Ofcom. The scheme is free for you to use, and we'll tell you which scheme it is and how to contact it if you have a complaint.
16. General
- We may send notices by email to the contact address we hold for you. Please send notices to us at help@solarit.uk or by post to our address above.
- If any part of these terms can't be enforced, the rest still applies. If we don't enforce a right straight away, we can still enforce it later.
- You may not transfer your contract to someone else without our agreement. We may transfer it to another business that takes over our services, as long as your rights aren't reduced.
- Only you and we have rights under this contract.
- These terms are governed by the law of England and Wales, and the courts of England and Wales can deal with any dispute.
